Reference is made to the Company’s announcements dated 13 December, 2011 and 15 December, 2011 pertaining to the above matter.

The Board of Directors of NEXTNATION wishes to further clarify the following information announced on 15 December, 2011.

On 15 December, 2011, the Board had announced that USAPE is a wholly-owned subsidiary of Nextnation Nextwork Sdn. Bhd., which in turn is a wholly-owned subsidiary of NEXTNATION. The Board further clarifies that USAPE is not a major subsidiary of NEXTNATION.

Further, on 15 December, 2011 as well, the Board had announced that should Marco Kiosk Berhad succeed in their winding-up petition and are adjudicated by the Court, an administrator would be appointed to administer the affairs of USAPE. The Board is of the view that presently the losses would not be quantifiable but such losses may not be substantial to NEXTNATION.

The Board of Directors will make the necessary announcement on further development in due course.
