1. Introduction

Pursuant to Rule 7.14 (h) of the Listing Requirements of Bursa Malaysia Securities Berhad for the MESDAQ Market, the Board of Directors of Nextnation wishes to announce that the Company has acquired the entire issued and paid up share capital of Ozura Sdn. Bhd. ("Ozura") on 13 September 2005, comprising 2 ordinary shares of RM1.00 each fully paid up for a total cash consideration of RM2.00.

2. Information on Ozura

Ozura was incorporated in Malaysia as a private limited company under the Companies Act, 1965 on 8 August 2005. The authorised share capital of Ozura is RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each. Ozura is presently dormant. However, the intended principal activities of Ozura are mobile game engine/solution developer and provider as well as mobile game developer and publisher.

3. Financial Effects

The acquisition of Ozura does not have any material effect on the earnings per share and net tangible assets per share of Nextnation and its subsidiaries ("Group").

4. Liabilities

There are no liabilities to be assumed by the Group arising from the acquisition of Ozura.

5. Condition to the Acquisition of Ozura

The acquisition of Ozura is not subject to any regulatory or shareholders' approval.

6. Directors' and Substantial Shareholders' Interest

None of the Directors of Nextnation or persons connected to them has any interest, direct or indirect, in the acquisition of Ozura. The Directors of Nextnation are not aware of any substantial shareholders of Nextnation or persons connected to them who has any interest, direct or indirect, in the acquisition of Ozura.
