1. Introduction

Further to the announcements dated 3 October 2006 and 21 March 2007 in relation to the Memorandum of Understanding between Nextnation and Tawasul Telecom Co. LLC, the Board of Directors of Nextnation wishes to announce that the Company had on 11 April 2007, via its wholly-owned subsidiary, Usape Nelson Wireless Sdn. Bhd. (“Usape”) entered into a Content Provider Agreement (“Agreement”) with Tawasul Communication Co., LLC (“Tawasul”), a subsidiary of Tawasul Telecom Co. LLC to record the collaboration with each other in relation to research, development and the provision of Internet and wireless technologies and wireless value added services, and related software and business ancillary thereto upon the terms and conditions as stipulated in the Agreement.

2. Details of the Agreement

Usape grants Tawasul an exclusive non-transferable distribution licence in the Kingdom of Saudi Arabia to:

(i) provide content and services to wireless services providers for distribution and use by such wireless services providers across mobile wireless devices; and

(ii) use, republish, perform, communicate, transmit, display, distribute and promote the content and services or combine the content and services or any part thereof with other content, as part of Tawasul’s wireless services offerings and services to wireless services providers.

Tawasul has entered into distribution agreements with two (2) wireless services providers, and may from time to time, enter into new or modified agreements with other wireless services providers and distributors, for the distribution of certain content and services.

Tawasul and Usape agree to collaborate with each other for such distribution efforts and to use commercially reasonable efforts to work with each other regarding wireless services providers and other wireless services providers and distributors. Both parties shall use their commercially reasonable efforts to include the content and services as a part of Tawasul’s offering with other wireless services provider or distributor.

Usape grants to Tawasul an exclusive, non-transferable, royalty-free right and licence to store, reproduce, display, transmit and use the Usape’s logos, trademarks, and trade names in the territories/channels in connection with Tawasul’s activities.

The Agreement shall commence on 11 April 2007 and continue for one (1) year unless terminated earlier as provided under the Agreement.

3. Information on Tawasul

Tawasul is a mobile telecommunication company, distributor or aggregator that distributes mobile content. Tawasul is a subsidiary of Tawasul Telecom Co. LLC, a company incorporated in the Kingdom of Saudi Arabia with its correspondence address at P.O. Box 1223, Riyadh 11431 Kingdom of Saudi Arabia.

4. Financial Effects

The Agreement will not have any material effect on the share capital, earnings and net assets of the Company or the Nextnation group of companies for the financial year ending 30 April 2007.

5. Directors and Substantial Shareholders’ Interest

None of the Directors of Nextnation or persons connected to them has any interests, direct or indirect, in the Agreement. The Directors of Nextnation are not aware of any substantial shareholders of Nextnation or persons connected to them who has any interest, direct or indirect, in the Agreement.

6. Documents available for inspection

The Agreement will be available for inspection at the Registered Office of the Company located at Level 7, Menara Milenium, Jalan Damanlela, Pusat Bandar Damansara, Damansara Heights, 50490 Kuala Lumpur from Monday to Friday (except public holidays) between 9.00 a.m. to 5.00 p.m.
